This Agreement is between you and Neunera LLC ("Neunera", "We", "Us", "Our"), a Delaware Corporation. It governs your access to and use of:

By accessing or using these Services, you agree to be bound by this Agreement and our Privacy Policy you must not access or use the Services.

The Services are for users over 18, who have not been removed from the service, and comply with all applicable laws. By using the Services, you confirm you meet these requirements.

NOTE: This Agreement includes a binding arbitration provision and class action waiver, affecting your legal rights. Read carefully, especially regarding your right to opt out of arbitration.

We may update this Agreement at our discretion. Changes take effect immediately upon posting and apply to all future use of the Services. We will notify you of significant changes via the email you provided.

Your continued use of the Services after changes are posted means you accept them. Check this page regularly for updates.

If you disagree with the changes or don't meet the eligibility requirements, stop using the Services and contact us at hello@neunera.com to terminate your account.

We may modify or withdraw the Services, and any related materials, at our sole discretion without notice. We are not liable if the Services are unavailable at any time. Access may be restricted for both registered and unregistered users.

You are responsible for:

1. Arranging access to the Services.
2. Ensuring those who use your internet connection comply with this Agreement.
3. Ensuring your employees, consultants, or contractors using your account are aware of and comply with this Agreement.

To access the Services, you may need to provide registration details. All information must be correct, current, and complete. Your information is governed by our Privacy Policy, and you consent to its use per the policy.

If you receive a user name, password, or other security information, keep it confidential. Do not share it with others and notify us immediately of any unauthorized use. Use caution when accessing your account from public computers and always log out after your session.

We can disable your account or access if you violate this Agreement.

The Services and all content, features, and functionality (including information, software, text, displays, images, video, and audio) are owned by Neunera, its licensors, Partners, or other providers and are protected by Intellectual Property Laws. Content from Partners is subject to their terms and may change at their discretion. Neunera does not own your User Contributions, which are discussed further below.

This Agreement allows you to use the Services. Without written permission from Neunera, you must not reproduce, distribute, modify, reverse engineer, create derivative works, publicly display, perform, republish, download, store, or transmit any material on our Services, except as follows:

1. Your computer may temporarily store copies in RAM for accessing, viewing, and using materials.
2. Files may be automatically cached by your Web browser for display enhancement.
3. You may print or download one copy of a reasonable number of pages for personal, non-commercial use.
4. You may use enabled actions by our partner Partner Pinterest.
5. You may publicly display materials to positively promote Neunera Services.

You must not:

1. Modify copies of any materials—excluding User Contributions.
2. Use illustrations, photographs, video, or audio separately from the accompanying text—excluding User Contributions.
3. Delete or alter copyright, trademark, or other proprietary rights notices.

If you breach this Agreement by printing, copying, modifying, downloading, or otherwise using or providing access to any part of the Services, your right to use the Services will stop immediately, and you must return or destroy any copies of the materials. No right, title, or interest in the Services or any content is transferred to you, and all rights not expressly granted are reserved by Neunera. Any unauthorized use of the Services breaches this Agreement and may violate laws.

These rules apply to all of Neunera's services and users, regardless of their plan level.

Permitted Uses:

1. Use the Services only for lawful purposes and in line with this Agreement.
2. Prevent unauthorized access to the Services, including maintaining a strong password.
3. Keep passwords and login credentials confidential.
4. Monitor and control all activities through your Neunera account.
5. Notify us immediately of any security breach, including loss, theft, or unauthorized use of your account or credentials.
6. Comply with terms of Neunera partners connected through the Services, including:

Prohibited Uses:

1. Violate any laws.
2. Exploit or harm minors in any way.
3. Use or share material not complying with Content Standards in this Agreement.
4. Create or share User Contributions you don't own or have the right to use.
5. Store, transmit, or create infringing, defamatory, threatening, harmful, or unlawful content.
6. Send any unsolicited promotional material ("spam").
7. Impersonate Neunera, its employees, another user, or any other person or entity.
8. Restrict or inhibit anyone's use or enjoyment of the Services, or engage in conduct that may harm Neunera or its users.
9. Promote obscene content.
10. Violate terms of Neunera partners (like Pinterest).

Additional Restrictions:

• Do not share the Services with anyone other than your Authorized Users.
• Do not allow multiple individuals to use a single login.
• Do not sell, trade, or transfer any Services to another party.
• Do not reverse engineer, decompile, hack, or disrupt the Services or Neunera partners.
• Do not gain unauthorized access to the Services or related systems.
• Do not build a similar or competitive product using the Services.
• Avoid abusive practices degrading the Services' performance.
• Do not use the Services for redistribution, syndication, or fraudulent activities.
• Do not disable, overburden, or interfere with the Services.
• Do not use any robot, spider, or automatic device to access the Services.
• Do not introduce viruses or malicious material.
• Do not attack the Services via denial-of-service attacks.
• Do not allow or encourage any third party to engage in any prohibited activities.

The Services include features (collectively, "Interactive Services") that let users create, post, and share content or materials (collectively, "User Contributions"). All User Contributions must follow the Content Standards outlined in this Agreement. Any content you post will be considered non-confidential and non-proprietary. 

These standards apply to all User Contributions and use of Interactive Services, including Communities. User Contributions must comply with all relevant laws and regulations. They must not: 

1. Contain defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable material.
2. Promote sexually explicit or pornographic content, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
3. Infringe on any patent, trademark, trade secret, copyright, or other intellectual property or rights of others.
4. Violate legal rights (including privacy and publicity rights) of others or contain material that could lead to civil or criminal liability or conflict with this Agreement and our Privacy Policy.
5. Be likely to deceive anyone.
6. Promote illegal activities or advocate, promote, or assist any unlawful acts.
7. Cause annoyance, inconvenience, or needless anxiety, or be likely to upset, embarrass, alarm, or annoy others, including portraying identifiable persons in an offensive or objectionable way.
8. Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
9. Involve commercial activities or sales, such as contests, sweepstakes, sales promotions, barter, or advertising.
10. Give the impression that they originate from or are endorsed by us or any other person or entity, if that is not the case.

While most of our Services require a fee, some offer a free trial, which you can access by visiting www.neunera.com. Both this Agreement and our Privacy Policy. apply to these trials. Note that Free Trials do not convert to paid services automatically.

For any paid Services, a valid credit card is necessary. We will bill you according to your selected plan. Payment processing will involve sharing your account information with Stripe Inc. which is our partner enabling payment system for our platform. Our plans come with fixed terms and non-refundable fees. Service prices can change, and additional fees may apply based on location and currency. If your payment method becomes invalid and you don’t update your information or switch to a free plan, you authorize us to continue billing you, and you remain responsible for unpaid amounts. We may suspend your access to Services if fees are not paid in full. Changes in service level (upgrades or downgrades) will take effect based on the billing cycle, with no refunds for downgrades.

Service plans renew automatically at the end of their term (monthly or annually). We will bill you upon renewal unless you cancel or downgrade. Your renewal date and amount can be found in your account's Billing Section.

Refunds are not provided for pre-paid subscription terms, including but not limited to:

• Failure to cancel or downgrade before automatic renewal.
• Service outages.
• Changes in service features.

You are responsible for paying all taxes related to your fees. Local taxes may vary based on your payment method.

You have the flexibility to cancel or downgrade your service plan at any time through your Account Settings. If you decide to cancel or downgrade a paid service, please note that we do not offer refunds for any remaining time in your current billing cycle. Services will continue until the end of the paid period, but no refund will be issued for unused time.

We reserve the right to refuse service to anyone for any reason at any time. Additionally, we may suspend or terminate your access to our services immediately and without prior notice if we deem it necessary. Should your account be terminated due to a violation of our agreement, you will not be eligible for a refund for any unused portion of your plan term.

Any credits awarded for referrals or promotions will be forfeited if your account is canceled and remains inactive for three months.

We periodically update the content available through our services. However, the information may not always be complete or current. We are not obligated to ensure that all material is up-to-date, and some content might become outdated over time.
